ASSET PURCHASE - CALGARY COMPANY

Purchasing the underlying assets of a business, whether it represents the whole or a fraction of a company, is the alternative to acquiring the company's shares (wherein one acquires the whole of the business, including its liabilities). As such, an asset transaction has the potential to significantly reduce legal exposure associated with the proposed acquisition, as one look to segment and purchase only those assets that are to be used by the new company. Nevertheless, this may also mean that the acquiring party pays a substantially higher price in this transactional format, as the liabilities remain with the selling party that is also looking for an offset to those liabilities (whether they have materialized or they are presently dormant).

Establishing that those assets are in fact free and clear of liabilities is an important legal undertaking that needs to be rigorously conducted. Assets subject to pre-existing legal liabilities pose considerable danger to the buyer, as unpaid creditors of the seller have a range of legal rights and remedies available to them, which includes pursuing and seizing the assets that an unprotected buyer presumed it had acquired title to. And unfortunately, the laws typically punish careless corporate buyers who have failed to engage in the appropriate legal precautions prior to buying a company's assets. And this is but one of the legal challenges associated with purchasing assets, a process that benefits greatly from the involvement of experienced legal counsel.
