CALGARY JOINT VENTURES + PARTNERSHIPS

Joint ventures are structured business arrangements where two or more persons work together in a limited and defined business undertaking, which upon completion brings the venture to its end (as opposed to a partnership, which is a more substantive and lasting collaboration). Typically, in both a joint venture and a partnership, all participants of contribute specific assets, share risks and have mutual liability (though they may be further defined by their written arrangement).

?Among the queries that should be posed when seeking to undertak a joint venture or partnership:

* what is sought to be accomplished by this particular collaboration

* how do each of the parties intend to integrate their respective contributions into the joint venture / partnership

* in what manner shall the combination of the parties’ complementary expertise and assets help to create heightened profitability

* if the parties were to remain independent, would they be capable of accomplishing their objective goals

* what synergies and achievements could be realized from the parties' collaborative efforts that could not be achieved through their joint work

* shall the parties continue to compete with each other following their union and how shall this impact their respective development

* what is the competitive future of each of the parties with and without the proposed  collaboration

* is the proposed collaboration appropriately timed and with the most opportune partner(s)
